CHANGE STATEMENT AND NOTICE OF ANNUAL GENERAL MEETING
Shareholders are advised that the company`s 2010 Annual Report containing the
annual financial statements for the year ended 30 June 2010 was posted to
shareholders on 5 October 2010 and contains the following modifications from the
reviewed consolidated condensed results published on 6 September 2010.
Following an error in the calculation of a non-controlling interest the balance
has been revised along with the consequential changes to earnings per share,
diluted earnings per share, headline earnings per share and diluted headline
earnings per share.
Furthermore, certain equity transactions relating to an associated company have
been included in the Annual Report which resulted in a revision to the balance
of Investments in associates.

NOTICE OF ANNUAL GENERAL MEETING
The 28th annual general meeting of Wilson Bayly Holmes-Ovcon Limited will be
held at 53 Andries Street, Wynberg, Sandton on Wednesday 27 October 2010 at
11h00 for the purpose of conducting the business as stated in the Notice of
Annual General Meeting in the 2010 annual financial report.
