RESULTS OF GENERAL MEETING
Shareholders of PMC ("Shareholders") are referred to the circular to
Shareholders dated Monday, 20 September 2010 regarding the introduction of new
Historically Disadvantaged South African ownership participation into the PMC
group through, inter alia, the transfer of the identified business operations,
assets and liabilities into a new subsidiary of PMC, Palabora Copper
(Proprietary) Limited ("Palabora Copper"), and the specific issue of a 26%
shareholding (fully diluted) in Palabora Copper to certain Broad-Based Black
Economic Empowerment Shareholders ("the Transaction"). Shareholders are advised
that at the general meeting of Shareholders held today to consider the
resolutions proposed at the meeting to approve and implement the BEE
transaction, 88.82% of voteable Shareholders were represented and of which
99.95% voted in favour of the proposed resolutions.
Special resolution number 1 is in the process of being submitted to the
Companies and Intellectual Property Registration Office for registration.
PMC will release a further announcement in due course once the remaining
conditions precedent to the Transaction have been fulfilled or, where permitted,
waived.
