DIRECTORS` DEALING IN SECURITIES AND APPOINTMENT OF LEAD INDEPENDENT DIRECTOR
Shareholders are advised that, the company was informed on the 27 October 2010
that in terms of paragraphs 3.63 - 3.74 of the Listings Requirements of the JSE
Limited the following information relating to dealing in securities by a
director of the company be disclosed:
Director: Mr. Ian Cockerill (Executive Chairman)
Date: 27 October 2010
Price: R2,84 cents per share
Number of shares: 5 400 000
Class: Ordinary shares
Nature: Issue of shares per employment contract
Total consideration: R15 336 000,00
Extent of Directors` interest: DIRECT - beneficial
The above shares will be issued at the 30 day VWAP and subsequent to
shareholders approval to be requested from shareholders at the AGM. The only
condition will be that Cockerill remains in the employ of Petmin for a three
year period. After each completed year, he will be entitled to dispose of one
third of the shares.
Clearance has been received in terms of rule 3.66 of the JSE`s
Listings Requirements in respect of the above transaction.
The board is furthermore pleased to announce that Mr. John Taylor (63) - BEng
(Hons) Metallurgy, currently a non-executive director of Petmin has been
appointed as lead independent director as required by King III. John has 29
years` experience with BHP Billiton as a senior metallurgist. His production
experience includes gold, uranium, copper, iron ore, sulphuric acid production,
lead and alloys, ferromanganese, silicon metal, zinc and manganese metals. John
has extensive experience (as a project director) ranging from feasibility
studies (including research and development management) to design, construction,
commissioning and operations.
