RESULTS OF THE SPESCOM SCHEME MEETING
1 INTRODUCTION
Shareholders are referred to the announcement released by Spescom on the
Securities Exchange News Service ("SENS") of the JSE Limited ("JSE") on 28
October 2010 regarding the convening of a scheme meeting, to consider and, if
deemed fit, to agree to, with or without modification, a scheme of arrangement
("scheme") in terms of section 311 of the Companies Act, 1973 (Act 61 of 1973),
as amended, proposed by Jasco Electronics Holdings Limited ("Jasco") between
Spescom and its shareholders.
2 OUTCOME OF THE SCHEME MEETING
Shareholders are advised that the scheme has been approved by 97.87% of the
votes exercised by the scheme members present in person, by proxy or represented
at the scheme meeting held on Monday, 22 November 2010.
Application will be made to the High Court of South Africa (South Gauteng High
Court, Johannesburg) ("the Court") at 10:00 on Tuesday, 30 November 2010 or as
soon thereafter as Counsel may be heard for an order sanctioning the scheme. A
further announcement regarding the outcome of the application to the Court will
be released on SENS on Tuesday, 30 November 2010.
3 SCHEME CHAIRMAN`S REPORT
The Chairman`s report on the scheme meeting will be available for inspection at
the registered office of Spescom being Spescom Park, corner Alexandra Avenue and
2nd Road, Midrand, 1685 during normal business hours from Tuesday, 23 November
2010.
