NOTICE IN RESPECT OF THE CIPLA MEDPRO SOUTH AFRICA EMPLOYEE SHARE OPTION SCHEME
("CMSA EMPLOYEE SHARE OPTION SCHEME") PROPOSED TO BE ADOPTED AT THE GENERAL
MEETING OF SHAREHOLDERS TO BE HELD ON 24 NOVEMBER 2010
Shareholders are referred to the circular dated 8 November 2010 ("the circular")
in which shareholders were given notice of a general meeting to be held at 14h00
on Wednesday, 24 November 2010 ("the general meeting"), for the purpose of
proposing the adoption of the CMSA Employee Share Option Scheme.
Shareholders were advised in the circular that a maximum of 67 000 000 (sixty-
seven million) shares would be set aside for the purpose of the CMSA Employee
Share Option Scheme, and that each beneficiary can be granted up to a maximum of
22 000 000 (twenty-two million) shares under the CMSA Employee Share Option
Scheme.
Notice is hereby given that at the general meeting to approve the CMSA Employee
Share Option Scheme, the board of directors of Cipla Medpro will propose that
notwithstanding the provisions of the circular, the CMSA Employee Share Option
Scheme be adopted on the basis that a maximum of 44 000 000 (forty four million)
shares be set aside for the purpose of the CMSA Employee Share Option Scheme
(representing approximately 10% of the shares currently in issue), and that each
beneficiary can be granted up to a maximum of 4 400 000 (four million four
hundred thousand) shares under the CMSA Employee Share Option Scheme
(representing approximately 1% of the shares currently in issue).
