INCREASE IN LEDJADJA SHAREHOLDING TO 74%
Resgen has completed the process under the Ledjadja Coal (Pty) Limited
("Ledjadja") shareholders` agreement and has increased its ownership of Ledjadja
from 49% to 74%.
Ledjadja owns the prospecting rights which contain the major portion of the coal
resources and reserves of the proposed Boikarabelo mine, which have been
announced previously, as follows:

who is a consultant to the Company and is a member of a Recognised Overseas
Professional Organisation. Mr Van Wyk has sufficient experience which is

and to the activity which he is undertaking to qualify as a Competent Person as
defined in the 2004 Edition of the `Australasian Code for Reporting of
Exploration Results, Mineral Resources and Ore Reserves`. Mr Van Wyk has given
and has not withdrawn his consent to the inclusion in the release of the matters
based on his information in the form and context in which it appears.
