Results of EGM and Scrip Dividend Issue of Equity
Set out below is an announcement which was released by Redefine International
plc, the AIM-listed subsidiary of RIN, on the Regulatory News Service ("RNS") of
the London Stock Exchange today.

Results of EGM and Scrip Dividend Issue of Equity
The Board of Directors is pleased to announce that at the Extraordinary General
Meeting of the Company held earlier today, the resolution, as set out in the
Notice of Extraordinary General Meeting dated 21 October 2010, was duly passed
by the required majorities.
Details of the proxy results cast were as follows:-

A final dividend
be declared in 352,652,265 0 0 0
respect of the
eleven months
ended 31 August
2010 in the form
of a scrip
dividend.
Subsequently, and following the announcement on 11 November 2010, the Company
confirms that an aggregate of 429,252 new ordinary shares of 1 pence in Redefine
International have been issued to shareholders as a scrip dividend.
Elections for the cash dividend alternative were received from shareholders
holding 399,244,736 Redefine International shares.
Application has been made for the new shares to be admitted to trading on AIM on
Friday 26 November 2010.
The total number of ordinary 1 pence shares in issue is 411,204,995. This
figure may be used by shareholders as the denominator for the calculations by
which they will determine if they are required to notify their interest in, or a
change to their interest in, the Company under the Disclosure and Transparency
Rules
