DEALING IN SECURITIES BY THE DIGICORE HOLDINGS LIMITED SHARE TRUST
Shareholders are referred to the DigiCore rights offer declaration
announcement on SENS dated 9 December 2010. As the DigiCore rights offer opens
after 31 December 2010 (when DigiCore is possibly still in closed period in
anticipation of its interim financial results), DigiCore has received an
irrevocable undertaking from the DigiCore Holdings Limited Share Trust ("the
Share Trust") (before commencement of the closed period) in respect of their
intention as to how they will deal with their rights allocated to them in
terms of the rights offer.
In compliance with Schedule 14.9 and Rules 3.63 to 3.74 of the JSE Limited`s
Listings Requirements, the following information relating to the intended
dealing in securities by the Share Trust pursuant to the Share Trust following
their rights entitlement during the DigiCore rights offer is disclosed:
