Shareholders are referred to the announcements published by HCI on the Stock
Exchange News Service of the JSE Limited on, inter alia, 18 February 2010, 26
April 2010, and most recently 3 December 2010 regarding the proposed merger of
the gaming and hotel businesses of Tsogo Sun Holdings (Proprietary) Limited, a
51% held subsidiary of HCI, and Gold Reef Resorts Limited.
Shareholders are advised that approval has been received from the Eastern Cape
Gambling and Betting Board. This approval is in addition to the approvals
already granted by the Gauteng Gambling Board, the Kwa-Zulu Natal Gambling
Board, the Mpumalanga Gambling Board and the Western Cape Gambling and Racing
Board as announced to shareholders on 15 November 2010 and 3 December 2010. The
only outstanding gaming regulatory approval is the Free State Gambling and
Racing Board.
