DEATH OF A NON-EXECUTIVE DIRECTOR
It is with utmost grief that the board of directors of JD Group ("the board")
wishes to inform shareholders, in compliance with paragraph 3.59(b) of the
Listings Requirements of the JSE Limited, of the untimely death of Mr Ivan
Stanley Levy, one of the non-executive directors on the board of JD Group. Ivan
(72) sadly passed away on 5 February 2011 after an illness. Ivan was the CEO of
Levy, Feinstein & Associates Inc, the corporate legal advisors to JD Group.
Ivan has served on the board of JD Group for 17 years. He was a member of the
JD Group Remuneration Committee and the Chairman of the JD Group Nominations
Committee and former chairman of the JD Group Pension and Provident Funds. He
also served as an executive director on the boards of numerous private
companies, including the International Association of Jewish Lawyers and
Jurists.
David Sussman, JD Group`s Chairman, commented as follows: "During Ivan`s
distinguished career as a corporate lawyer, he enjoyed only the highest esteem
amongst all his colleagues and peers in the legal and corporate business
fraternity. Ivan will be sadly missed, foremost as a friend of many years, but
also as a colleague and board member. He always added significant value and
brought thoughtful insights to JD Group board deliberations. On behalf of the
JD Group board, I express my heartfelt sympathy and condolences to his wife
Barbara and to his children, Grant, Gina, Adam and Daniel."
Following Mr Levy`s death, the JD Group board will be King III non-compliant for
an interim period up to 17 February 2011 when a new non-executive director will
be appointed, which will ensure that a majority of directors on the board will
be non-executive.
