RESULTS OF ANNUAL GENERAL MEETING ("AGM") AND RESIGNATION OF A NON EXECUTIVE
DIRECTOR
Shareholders are advised that, save for Ordinary Resolution Number 1 and the
re-appointment of KG Galesitoe as Non Executive Director, all of the proposed
resolutions were passed by the requisite majority of shareholders at the AGM on
Thursday, 17 February 2011. The special resolutions will be lodged with CIPRO
for registration as soon as is possible.
Ordinary resolution Number 1 was passed with modification, limiting the number
of authorised but unissued ordinary shares under the control of the board of
directors to 5% of the unissued authorised ordinary share capital.
In compliance with section 3.59(b) of the Listings Requirements of the JSE
Limited, the Board of Directors of Top Fix wish to inform shareholders that Mr
KG Galesitoe has resigned as a Non Executive Director with effect from 16
February 2011 and accordingly was not available for re-election.
The Top Fix Board wishes to express its gratitude to Mr KG Galesitoe for his
contribution to the Company during his tenure.
