Shareholders are referred to the announcements published by HCI on the Stock
Exchange News Service of the JSE Limited on, inter alia, 18 February 2010, 26
April 2010, and most recently 11 February 2011 regarding the proposed merger of
the gaming and hotel businesses of Tsogo Sun Holdings (Proprietary) Limited
("Tsogo"), a 51% held subsidiary of HCI, and Gold Reef Resorts Limited ("Gold
Reef") ("Proposed Merger").
Shareholders are advised that all the conditions precedent relating to the
Proposed Merger have been fulfilled or waived (where appropriate). Accordingly,
the Proposed Merger has become unconditional.
Shareholders are also referred to the abridged revised listing particulars
announcement released by Tsogo and Gold Reef on SENS today.
