POSTING OF RIGHTS OFFER CIRCULAR
Sovereign Shareholders ("Shareholders") are referred to the rights offer
finalisation announcement released by the Company on SENS on 1 February 2011 and
published in the press on 2 February 2011 regarding the partially underwritten
renounceable rights offer of 31 578 947 new Sovereign ordinary shares at a
subscription price of 475 cents per new ordinary share ("Rights Offer").
Shareholders are advised that the Rights Offer opened today and the related
circular, providing details of the Rights Offer ("the Circular"), was posted to
Shareholders today. An electronic version of the Circular has been made
available on Sovereign`s website at www.sovereignfoods.co.za.
Holders of certificated Sovereign shares are requested to contact the Company`s
transfer secretaries with any queries regarding the forms of instruction issued
in respect of letters of allocation relating to the Rights Offer.
