DIGICORE RIGHTS OFFER RESULTS
Shareholders are referred to the announcements of the DigiCore rights offer
published on SENS on 16 November 2010, 9 December 2010 and 14 January 2011 and
the circular dated 31 January 2011 detailing the terms of the said offer. In
terms hereof DigiCore announced the raising of R90 million by way of a fully
underwritten renounceable rights offer of 30 000 000 new DigiCore ordinary
shares of R0.001 each ("rights offer shares") to qualifying DigiCore ordinary
shareholders ("rights offer").
The rights offer shares were issued in the ratio of 13.78237 rights offer shares
for every 100 DigiCore ordinary shares held on the record date, being Friday, 28
January 2011 ("record date") at a subscription price of 300 cents per rights
offer share.
The results of the rights offer, which closed on Friday, 18 February 2011, are
as follows:

Coronation
The rights offer was fully underwritten by Coronation Asset Management (Pty)
Limited ("Coronation"). Coronation will settle the issue price of the rights
offer shares to be issued to them, which they subscribed for pursuant to their
underwriting obligations, in cash.
For DigiCore shareholders who have subscribed for the rights offer:
share certificates will be posted to the holders of certificated DigiCore shares
on or about Monday, 21 February 2011; and
the Central Securities Depository Participant ("CSDP") or broker accounts of
holders of dematerialised DigiCore shares will be credited with the rights offer
shares and debited with any payments due on Monday, 21 February 2011.
