DEALING IN SECURITIES: GRANTING OF SHARE APPRECIATION RIGHTS
In compliance with paragraph 3.63 to 3.66 of the JSE Limited ("JSE") Listings
Requirements ("Listings Requirements"), the below-mentioned information is
disclosed on behalf of the directors and company secretary of JD Group, as well
as the directors of major subsidiaries of JD Group, namely JDG Trading
(Proprietary) Limited, JDG Micro Insurance Limited and JDG Micro Life Limited.
In respect of all the disclosures made below:
- the nature of the transaction is a grant of share appreciation rights and
is an off-market transaction;
- the issuer is JD Group;
- the class of security upon which the share appreciation rights are based,
is ordinary shares;
- before the share appreciation rights were granted, clearance was obtained;
from the Chairman of JD Group and the JD Group Remuneration Committee, as
required in terms of paragraph 3.66 of the Listing Requirements;
- the share appreciation rights were granted on 24 February 2011;
- the share appreciation rights will vest from 24 February 2014, subject to
having met certain predetermined performance conditions;
- the vested share appreciation rights will expire after seven years, on 24
February 2018;
- the strike price is R51-30 per share appreciation right, which is equal to
the Volume Weighted Average Price of JD Group`s ordinary shares on the JSE
at 23 February 2011, the business day prior to the grant;
- the extent of the interest is direct beneficial.
