1. Introduction and rationale
At the annual general meeting held on Thursday, 9 December 2010, the
requisite majority of Village shareholders approved the special
resolution relating to the Change of the Company`s Name, Village Main
Reef Gold Mining Company (1934) Limited to Village Main Reef Limited.
The special resolution authorising the Change of Name was subsequently
registered with the Companies and Intellectual Property Registration
Office on Friday, 28 January 2011.

(3) Shareholders will not be able to dematerialise or rematerialise
securities in the name of Village Main Reef Gold Mining Company
(1934) Limited after Friday, 11 March 2011, and may only
dematerialise their new Village Main Reef Limited Shares from
Tuesday, 22 March 2011.
(4) Certificated Shareholders who surrender their existing documents of
title after 12:00 on the record date will have their new share
certificates mailed within five business days of receipt thereof by
the Transfer Secretaries, by registered post in South Africa, at the
risk of the Shareholders concerned.
3. Form of surrender and circular to shareholders
A form of surrender to be completed by certificated shareholders will be
included in the circular to shareholders regarding the Proposed
Transaction between Village and Simmer & Jack Mines Limited, the details
of which was announced on 6 December 2010 on the Securities Exchange News
Service. The circular containing details about the Proposed Transaction
and the form of surrender relating to the Change of Name are to be posted
to shareholders in due course.
