ACQUISITION BY CAPITAL OF ALL PANGBOURNE LINKED UNITS: APPROVAL FROM COMPETITION
AUTHORITIES, RESULTS OF THE COURT HEARING TO SANCTION THE SCHEME AND UPDATE
Capital and Pangbourne unitholders are referred to the announcement of 24
November 2010 and all subsequent announcements relating to the transaction dealt
with therein and are advised that:
- unconditional approval for the implementation of the acquisition by Capital
of all Pangbourne linked units in issue and not already held by Capital
pursuant to a scheme of arrangement (the "scheme") has been received from
the Competition Authorities; and
- the South Gauteng High Court, Johannesburg sanctioned the scheme on 8 March
2011.
The only remaining condition to implementation of the scheme is registration of
the Order of Court sanctioning the scheme by the Registrar of Companies, which
is in process.
Following registration of the Order of Court sanctioning the scheme, updated
salient dates for implementation of the scheme will be released on SENS and
published in the press.
