CHANGES IN DIRECTORATE
In compliance with paragraph 3.59 of the Listings Requirements of the JSE
Limited, notice is hereby given of the following impending changes to the
board of directors of Illovo:
Chairman and Lead Independent Director
Mr R A Williams having attained the age of 70, will retire as Chairman of
Illovo at the company`s next Annual General Meeting, to be held on 19 July
2011. Mr D G MacLeod, currently Deputy Chairman, will be appointed Chairman
of Illovo from that date.
As Mr MacLeod retired as chief executive of the Illovo group on 1 April
2009, and therefore a period of three years will not have elapsed prior to
his appointment as Chairman on 19 July 2011, in compliance with paragraph
3.84(c) of the Listings Requirements and in accordance with the King Code
of Governance for South Africa 2009 (King III), Mr M J Hankinson will be
appointed lead independent director of the company from that date.
Resignation
Ms K Zarnack has tendered her resignation from the board of Illovo with
effect from 31 May 2011. Ms Zarnack joined the group as financial director
on 1 October 2005. She will be leaving to pursue other interests.
Appreciation is expressed to Ms Zarnack for her valued contribution to the
company during her tenure as a director. The recruitment of a replacement
financial director is progressing and an appointment will be made and
advised in due course.
