WAIVER OF MANDATORY OFFER
Shareholders of Village are advised that, following the approval by Village
shareholders of the waiver of any mandatory offer that Simmer and Jack Mines,
Limited ("Simmers") may be required to make to Village shareholders in terms
of Rule 8.7 of the Securities Regulation Code On Takeovers And Mergers ("the
Code"), the Securities Regulation Panel ("SRP") has ruled that the requirement
for Simmers to make any mandatory offer under the Code has been dispensed with
in terms of Rule 8.7 of the Code ("SRP Ruling"). The reasons for the SRP
Ruling are available from the SRP on request.
Any interested party who wishes to appeal, in terms of Section A paragraph
2(d) of the Code, against the SRP Ruling shall have three business days from
the date of this announcement, (i.e. until 17h00 on 31 March 2011) to raise
such an appeal with the SRP. Appeals should be made in writing and addressed
to the "Executive Director, Securities Regulation Panel" at any one of the
