RESULTS OF GENERAL MEETING REGARDING THE PROPOSED ACQUISITION BY BCX OF SHARES
AND CLAIMS IN CERTAIN UNDERLYING SUBSIDIARIES OF UCS GROUP LIMITED ("UCS")

Shareholders are referred to various announcements released on the Securities
Exchange News Service (SENS) and the circular to shareholders dated 9 March
2011 ("the Circular") relating to the proposed transactions.
In this regard, shareholders are advised that at the general meeting("GM")of
the shareholders of the company held today, 31 March 2011 the requisite
majority of shareholders approved all the resolutions as set out in the
circular and proposed at the meeting regarding the proposed transaction.
Competition Commission approval for the transaction has also been obtained.
