RESULTS OF GENERAL MEETING AND REVISED SALIENT DATES AND TIMES: CONSOLIDATION
OF SHARE CAPITAL AND INCREASE IN AUTHORISED SHARE CAPITAL
Further to the posting of a circular to Consolidated Infrastructure
shareholders dated 14 March 2011 and the SENS announcement released the same
day and published in the press on 15 March 2011 in respect of:
1. the proposed consolidation of the company`s share capital on a 10 to 1
basis (the "consolidation"); and
2. the proposed increase of the company`s authorised share capital
(collectively, the "corporate actions").
Shareholders are advised that at the general meeting of Consolidated
Infrastructure shareholders, held today (Friday, 15 April 2011), all
resolutions to approve the corporate actions were passed by the requisite
majority of Consolidated Infrastructure shareholders. The special resolutions
will be submitted to the Companies and Intellectual Property Registration
Office for registration in due course.
REVISED SALIENT DATES AND TIMES
Due to 18 May 2011 being declared a public holiday, the salient dates and
times relating to the implementation of the corporate actions have been
revised and are as follows:

Results of the general meeting published in the press Monday, 18 April
on
Special resolutions submitted to CIPRO on or about Monday, 18 April
Special resolutions registered by CIPRO by no later Thursday, 5 May
than
Publication of finalisation announcement on SENS on Thursday, 5 May
Last day to trade in existing shares on the JSE prior Thursday, 12 May
to the consolidation
Trading in consolidated shares under the new ISIN: Friday, 13 May
ZAE000153888 commences on
Record date for the consolidation and the increase in Friday, 20 May
the authorised share capital at the close of business
on
Dematerialised shareholders will have their accounts Monday, 23 May
at their CSDP or broker updated on
Date of issue of new replacement share certificates, Monday, 23 May
provided that the old share certificates have been
lodged by 12h00 on Friday, 20 May 2011, on or about
(share certificates received after this time will be
posted within 5 business days of receipt)
Note:
1. The above dates and times are local times in South Africa and are
subject to change. Any changes will be released on SENS.
2. No dematerialisation or rematerialisation of the `old` Consolidated
Infrastructure shares may take place after Thursday, 12 May 2011.
