CHANGES TO THE BOARD OF DIRECTORS
In accordance with paragraph 3.59 of the JSE Limited Listings Requirements,
Foord Compass announces changes to its Board of Directors ("the Board"):
Resignation
The retirement of Mark Hodges, Chairman, from the Board, with effect from 19
April 2011. Mark was appointed to the Board in 2001 and has served as Chairman
from 29 April 2008.
Appointment
* The appointment of Chris Greyling as Independent Chairman of the Board from
19 April 2011. Chris has served on the Board since 2003 and in an
independent capacity from 2008.
* The appointment of Darron West as an independent, non-executive director
from 19 April 2011. Darron is presently a non-executive director of
Infiniti Insurance Ltd, a position that he has held since 2008. He is
currently appointed as a senior lecturer at the University of Cape Town and
has previously worked on special projects at Foord Asset Management. Save
for a short sabbatical between 2003 and 2004, he managed investment
portfolios at Cadiz Asset Management from 2000 to 2007. Darron qualified
as a Chartered Accountant with Ernst & Young Cape Town, in 2000 and he
obtained the CFA charter in 2002. He holds Masters Degrees in accounting
and in tax law.
* The appointment of Paul Cluer as a non-executive director from 19 April
2011. Paul is a director of Foord Asset Management (Pty) Ltd and managing
director of Foord Unit Trusts Ltd, having joined the Foord Group in 2004.
He was appointed as an executive director of Infiniti Insurance Limited in
October 2010. Paul qualified as a Chartered Accountant at Deloitte in 2000
and obtained the CFA charter in 2001.
In addition Mrs Lauren Grevler was appointed as company secretary.
In accordance with the Company`s articles of association, the appointments were
confirmed at the Company`s Annual General Meeting held today.
