SRP APPEAL COMMITTEE FINDINGS
Shareholders are referred to the announcement released on SENS on 21 February
2011 relating to the mandatory offer by JSW Energy Natural Resources South
Africa (Proprietary) Limited ("the Offeror") to all the remaining shareholders
of SACMH at 30 cents per share, plus a possible additional amount per share in
terms of the ruling by the SRP. The SRP Appeal Committee heard the appeal by
the Offeror against the ruling of the SRP in respect of the offer price on 26
January 2011.
SACMH received the SRP Appeal Committee`s ruling on 13 April 2011, which in
essence concluded that the comparable price to be offered to minority
shareholders of SACMH, is 38.6 cents per share. The portion exceeding the
amount per share that had already been paid to minority shareholders, will be
subject to interest.
The Offeror`s legal team is currently in the process of reviewing the findings
of the SRP Appeal Committee. A further announcement containing details of the
Offeror`s planned actions will be made in due course.
