The independent Trustee of the British American Tobacco Group Employee Trust
(the "Trust") notified the Company on 17 May 2011 that it had on 16 May 2011
(the vesting date of 15 May 2011 not being a business day) transferred the
beneficial interest in a total of 214,886 British American Tobacco p.l.c. 25p
ordinary shares (the "Shares") subject to awards granted under the British
