POSTING OF CIRCULAR AND REVISED LISTING PARTICULARS
Further to the announcement issued on SENS on 5 April 2011 and in the press on
7 April 2011, JD Group shareholders are advised that JD Group has posted a
Circular and Revised Listing Particulars by registered post, dated 24 May 2011
("the Circular"), to its shareholders in respect of:
(i) the proposed acquisition by JD Group of all of the shares in and claims
against the companies comprising the South African retail assets of
Steinhoff International Holdings Limited, being Unitrans Auto and
Steinbuild ("the Acquisition");
(ii) the proposed sale of JD Group`s interest in Abra, JD Group`s Polish
furniture retail business, to Steinhoff Global Investments GmbH ("the
Disposal"); and
(iii) unrelated to the Acquisition and Disposal, an authorisation for financial
assistance by JD Group to related or inter-related companies, which
authorisation has been necessitated by the Companies Act, No. 71 of 2008
("the Act") coming into force recently.
The General Meeting will be held at JD House, 27 Stiemens Street, Braamfontein,
Johannesburg, in the David Sussman Auditorium on the Ground Floor, at 10:00 on
Thursday, 23 June 2011 for the purposes of considering and, if deemed fit,
passing with or without modification, the resolutions required to give effect to
the above.
