APPOINTMENT OF NON-EXECUTIVE DIRECTOR
In compliance with rule 3.59 (b) of the JSE Limited Listings Requirements, the
board of directors of RGT SMART is pleased to announce that subsequent to the
signing of the subscription agreement between H.L Halls and Sons Investments
(Proprietary) Limited ("Halls") and the Company, which agreement, as detailed on
SENS on 14 March 2011, results in a change in control and which allows Halls to
nominate two directors to the board of RGT SMART, have appointed Mr Anthony
Miller to the board of the Company as non-executive director with effect from 1
June 2011.
A second appointment will be made at a later stage.
Anthony Miller has a degree in Mechanical Engineering from the University of
Cape Town as well as an MBA from the Kellogg School of Management, Northwestern
University, Chicago, USA. He started his career in 1996 at African Explosives
and Chemical Industries ("AECI"), where he worked as a plant engineer. In 1999,
he joined Mckinsey & Company, starting as a junior associate and progressing to
the level of engagement manager.
In 2006 Mr Miller co-founded Lightstone (Proprietary) Limited ("Lightstone"),
which is a specialized GIS, data and analytics company that initially focused on
providing automated property valuations to South African mortgage lenders and
now provides intelligent, online business-decision tools to blue chip customers
across the real estate, insurance, telecoms, automotive and banking sectors.
In 2009, Mr Miller was nominated to the World Economic Forum`s Forum of Young
Global Leaders.
It is intended that a joint venture will be established between Lightstone, RGT
SMART and Signio (Proprietary) Limited ("Signio") to develop a range of analytic
and risk management solutions for the vehicle sector.
The board of directors of RGT SMART look forward to Mr Miller`s experience,
knowledge and contribution to the board, and the business going forward.
