NOTICE REGARDING UNCOVERED EQUITY STRUCTURED PRODUCT ("ESPIBQ")
Further to the SENS Announcement on 1 June 2011, with regard to the Massmart
Competition Tribunal ruling and finalisation date announcement, in terms of
which Walmart offer to acquire 51 Massmart ordinary shares from each Massmart
ordinary shareholder for every 100 Massmart ordinary shares held, for a cash
consideration of R148.00 per ordinary share ("the Walmart Purchase"), the ESPIBQ
will be revised as follows:
As each owner of an ESPIBQ is the owner of a basket of shares (which include
Massmart shares), new Massmart shares will be purchased for the underlying
basket. The total cost of the additional shares (including but not limited to,
stamp duty) will be equal to the value of the proceeds ("Cash Consideration")
received by the trust administrators in respect of the Walmart Purchase. These
additional shares will be purchased by the trust administrators upon receipt of
the Cash Consideration.
The Put Option over each basket of shares will remain unaffected by the Walmart
Purchase.
