ACQUISITION OF A 50% INTEREST IN THE V&A WATERFRONT, CAPE TOWN
Growthpoint linked unit holders are referred to the announcement released on the
Securities Exchange News Service of the JSE Limited on 14 February 2011 in which
it was announced that Growthpoint, together with the Public Investment
Corporation Limited ("PIC") representing the Government Employees Pension Fund,
(collectively the "Purchasers") had entered into an agreement to, inter alia,
acquire, in equal proportions, 100% of the ordinary shares in Lexshell 44
General Trading (Proprietary) Limited ("Lexshell"), which company is the owner
of the V&A Waterfront (the "Transaction").
Following the fulfilment and/or waiver of all conditions precedent to the
Transaction, including, approval by the Competition Authorities, Growthpoint is
pleased to announce that the Transaction closed on 7 June 2011. The purchase
consideration has been settled and ownership of the issued shares in Lexshell
has transferred to the Purchasers.
