As part of the dual listed company structure, Investec plc and Investec Limited
notify both the London Stock Exchange and the JSE Limited of matters which are
required to be disclosed under the Disclosure and Transparency Rules and the
Listing Rules of the United Kingdom Listing Authority (the "UKLA") and/or the
JSE Listing Requirements.
Accordingly, we advise of the following:
ADDITIONAL LISTINGS - INVESTEC PLC AND INVESTEC LIMITED
Investec plc announces that it has today issued:
- 4,699,150 new ordinary shares of GBP0.0002 each in the capital of Investec
plc (the "New plc Shares") to the trustee of the Investec plc Jersey Number
1 Trust (the "Investec plc Trust") to satisfy deferred non-cash awards made
to qualifying employees as part of variable remuneration under the Investec
1 Limited Share Incentive Plan.
- 500,000 New plc Shares to Investec plc Trust to satisfy options granted to
staff in terms of the staff share incentive schemes.
The total number of issued ordinary shares in Investec plc is now 542,376,738.
At the same time, Investec Limited issued 3,183,553 new ordinary shares of
ZAR0.0002 each in the capital of Investec Limited to the Investec Limited
Security Purchase and Option Scheme 2002 Trust, to satisfy deferred non-cash
awards made to qualifying employees as part of variable remuneration under the
Investec Limited Share Incentive Plan.
The total number of issued ordinary shares in Investec Limited is now
276,020,221.
Approval has been granted for the admission of shares to trade on the London
Stock Exchange and admission to the Official List and the Johannesburg Stock
Exchange, with effect from 24 June 2011. The shares shall rank equally with the
existing issued ordinary shares of Investec plc and Investec Limited.
