CHANGES IN FUNCTION OF DIRECTORS
In accordance with rule 3.59(c) of the Listings Requirements of the JSE Limited,
shareholders of the Company are hereby advised of the following changes to the
functions of directors serving on the board, with effect from 1 July 2011.
Mr. Nick Vlok ("Nick") will retire as Chief Executive Officer of DigiCore on 30
June 2011, and will assume the role of Non-Executive Chairman on 1 July 2011.
Nick leaves a prosperous legacy behind, under his leadership the future of the
Group looks very bright. Nick has continuously expanded Ctrack`s footprint in
the Vehicle Recovery market and other product divisions, and has set the pace
for telematics solutions, with partners such as Discovery, and has continued to
develop "intelligent technology solutions" for the industry.
The board thanks Nick for his dedicated service over the last 14 years and for
leading DigiCore to the successful group it is today. He will be remembered for
his "go-getter" attitude and strong ethical values.
The board has appointed Mr. Barney Esterhuyzen ("Barney") as Chief Executive
Officer from 1 July 2011.
Barney initially joined the board of DigiCore in 2005 as Non-Executive director.
In 2010 he assumed an executive role as Group Managing director. Barney comes
with a wealth of experience and the board wishes him well in his new role.
The board wishes to thank Mr. Nhlanhla Gasa for his dedicated service as
Chairman of DigiCore over the past 6 years. He will remain on the board as an
Non-Executive director and will fulfill the role of Lead Independent director as
required by the JSE Limited and recommended by King III from 1 July 2011.
