CHANGE TO THE BOARD OF DIRECTORS
In compliance with the JSE Limited ("JSE") Listings Requirements, the following
information is disclosed:
Shareholders are referred to the announcement released on the Securities
Exchange News Service ("SENS") on 09 June 2011, relating to the fulfillment of
all conditions to the proposed reverse acquisition by Village Main Reef Limited
("Village") of Simmers, and the salient dates in relation to the unbundling by
Simmers of the Village shares to the Simmers shareholders. All Simmers
shareholders have now received their Village shares. As communicated, Simmers
will be classified as a cash company and remain listed on the JSE.
Due to the curtailed nature of the operations at Simmers, the following
directors have tendered their resignations as directors of the company with
effect from 27 June 2011, Mr David Brown; Mr Ralph Havenstein; Mrs Bulelwa
(Baba) Njenje; Mr Nick Segal; Mrs Namane Magau; Mr Stuart Murray and Mr Bernard
Swanepoel, who also resign as Chairman. The Simmers board will comprise of Mr
Valence Watson who has been appointed as the non-executive Chairman with effect
from 27 June 2011, Mr Marius Saaiman; Mr Guy Moretti and Mr James Faircliffe. Mr
Saaiman will remain the chief financial officer of Simmers until the completion
of the annual financial statements, which statements have to be completed by the
end of September 2011. The board thanks all the directors for their substantial
contribution to Simmers during a very difficult period in the company`s history.
