RESULTS OF RIGHTS OFFER
Further to the announcement published on SENS on 23 May 2011 which set out the
final terms of the rights offer by SA French of 400 000 000 new SA French shares
("rights offer shares") at a price of 5 cents per rights offer share ("the
rights offer"), shareholders are hereby advised that shareholders and/or their
renouncees subscribed for 294 479 525 rights offer shares (amounting to 73.62%
of the rights offer shares) by the close of the rights offer on Friday, 1 July
2011.
In addition, excess applications were received in respect of 988 018 rights
offer shares. Only 105 520 574 rights offer shares are available for allocation
in respect of the excess applications. Such excess applications have been
allocated on the basis that any excess rights offer shares available have been
allocated to applicants equitably, resulting in those who applied for excess
applications receiving 100% of their applications.
Dematerialised shareholders will have their custody accounts credited with the
rights offer shares subscribed for in terms of the rights offer and certificates
will be posted to certificated shareholders on Monday, 4 July 2011. Refund
cheques in respect of unsuccessful excess applications will be posted to
certificated shareholders on Wednesday, 6 July 2011.
Following the finalisation of the rights offer, the underwriters, being AfrAsia
Corporate Finance (Proprietary) Limited and the SA French Group Trust hold 105
520 475 shares and 225 080 000 shares, respectively, representing 18.63% and
39.74%, respectively, of SA French`s issued share capital.
