CHANGES IN DIRECTORATE
In compliance with paragraph 3.59(b) of the Listings Requirements of the JSE
Limited, notice is hereby given of the following changes to the board of
directors of Illovo:
Retirement of Chairman
Mr Robert Albert (Robbie) Williams having attained the age of 70, has retired as
a non-executive, independent director and Chairman of Illovo.
In paying tribute to Mr Williams at the 96th Annual General Meeting (AGM), held
earlier in the day, the Deputy Chairman, Mr Don MacLeod noted that Mr Williams
was retiring at the AGM after serving as a non-executive director for 26 years
and as Chairman for 14 years. Mr MacLeod thanked Mr Williams for his valuable
contribution to Illovo, particularly recording that Mr Williams had been part of
all the major changes which had taken place within the Illovo group over the
long period of time that he had been a member of the Illovo board, during which
period, Illovo`s profile had changed from being only a South African-based
business into a truly African business with operations in South Africa,
Swaziland, Mozambique, Malawi, Zambia and Tanzania.
Appointment of Chairman
As was announced on SENS on 23 March 2011, Mr Donald Gordon (Don) MacLeod,
previously the Deputy Chairman, has succeeded Mr Williams as Chairman of the
company.
Lead Independent Director
As also announced on SENS on 23 March 2011, as Mr MacLeod retired as chief
executive of Illovo on 1 April 2009, and therefore a period of three years has
not elapsed prior to his appointment as Chairman, in compliance with paragraph
3.84(c) of the Listings Requirements and in accordance with the King Code of
Governance for South Africa 2009 (King III), Mr Michael John (Mike) Hankinson
has taken-up his appointment as lead independent director of the company with
immediate effect.
