APPOINTMENT OF INDEPENDENT NON-EXECUTIVE DIRECTORS
In compliance with paragraph 3.59 of the Listings Requirements of the
JSE Limited, the board of directors of JD Group ("the Board") is pleased
to announce that Ms N (Nerina) Bodasing and Mr MP (Matsobane) Matlwa
have been appointed as independent non-executive directors to the Board
with effect from 1 September 2011.
Nerina is the founder and managing director of a fully empowered
independent management consultancy that provides strategic and financial
communication advice to South African corporates on the capital markets.
She obtained a BSc degree from the University of Natal and a BSc (Hons)
from the University of Durban-Westville. She also holds a postgraduate
diploma in business management from the University of Natal. Nerina
gained considerable experience in the fields of shareholder
communication, capital markets and corporate practice in her role as
Head of Investor Relations at Absa Group Limited and Sasol Limited in
recent years. Prior to these appointments, she served on the executive
committee of Gold Fields in the capacity of senior vice-president:
Investor Relations & Corporate Affairs. Early in her career, Nerina
worked in equity sales and assisted strategy research for global
investment bank UBS.
Matsobane is a chartered accountant who served his articles with Pim
Goldby. He has a Masters in Business Administration and is the current
Chief Executive Officer of the South African Institute of Chartered
Accountants, where he serves on a number of SAICA board subcommittees,
including the Exco, the Audit & Risk, Strategy and the IT Governance
Committees, to name but a few. Prior to joining SAICA, Matsobane held
senior positions at the South African Revenue Services and at Absa Bank
Limited. Earlier in his career he worked for the Financial Services
Board, Anglo American Corporation of SA, Transnet Limited and other
private companies. He was also an audit partner at Ernst & Young.
Amongst others, he is involved in the Thuthuka Bursary Fund and serves
on the board of the Australian-based Global Accounting Alliance. He is
currently a member of the International Federation of Accountants
Council, the Institute of Directors and the SAICA Advisory Council. He
is also the past chairman of the Forum of Accounting Bodies and a former
member of the India, Brazil & South Africa Taxation Working Group.
During his career he has amassed a broad range of experience from the
disciplines of finance, auditing, taxation and general management.
David Sussman, JD Group`s Chairman, commented as follows on the above

and Matsobane have a wealth of experience and enthusiasm and will bring
new perspectives to Board deliberations."
Following the afore-mentioned appointments, the Board is fully King III
compliant in that a majority of its members are non-executive directors
and the majority of the non-executive directors are independent.
