INCREASE IN JD GROUP SHAREHOLDING BY STEINHOFF
JD Group shareholders are referred to the following SENS announcements:
* dated 21 June 2011, in which the aggregate Steinhoff Group shareholding in
the Company was disclosed at 7,2%; and
* dated 23 June 2011 informing shareholders that the transaction as detailed
in the circular dated 24 May 2011, in terms of which 49 330 000 securities
would be issued to Steinhoff, was approved at the general meeting of
shareholders.
In accordance with the provisions of section 122(1) of the Companies Act 71 of
2008 ("the Companies Act") (as amended), JD Group has received notice that
Steinhoff has acquired a further 4 642 670 JD Group securities. As required by
section 122(3)(b) of the Companies Act and section 3.83(b) of the JSE Limited`s
listings requirements, shareholders are hereby advised that Steinhoff now holds
in aggregate 66 311 408 JD Group securities as at 8 August 2011, representing
30,2% of the issued share capital of JD Group.
