Notification of Transactions of Directors/Persons Discharging Managerial
Responsibility and Connected Persons
In accordance with DTR3.1.2R, the Company was notified on 16 August 2011 that
Goodweather Holdings Limited ("Goodweather") and Cheeseden Investments Limited,
which are deemed to be connected persons to John Whittaker for the purposes of
the Disclosure and Transparency Rules, had acquired on 9, 12 and 15 August 2011
a total of 306,500 ordinary shares of 50 pence each in the Company at an average
price of 321.475 pence per share.
Following this acquisition, Mr Whittaker`s total interest in the ordinary shares
of the Company is 172,325,767 (20.05%) (total interest including shares issuable
on conversion of convertible bonds - 210,905,017 (24.54%)).
In addition, the Company has been notified that all of the ordinary shares
acquired by Goodweather, including acquisitions of ordinary shares previously
announced by the Company in accordance with DTR3.1.4R on 8 August 2011 and 12
August 2011, are subject to a pre-existing floating charge over Goodweather`s
assets.
