UPDATE ANNOUNCEMENT REGARDING POSTING OF CIRCULAR
Vox shareholders ("Shareholders") are referred to the firm intention
announcement published by Vox on SENS on 14 July 2011 and in the press on 15
July 2011 regarding the terms on which Business Venture Investments No 1542
(Proprietary) Limited ("BidCo"), a special purpose vehicle held by Lereko
Metier Trustees (Proprietary) Limited, acting in its capacity as a trustee of
Lereko Metier Capital Growth Fund, Master`s reference number IT 11855/06 and
the LMCGF Parallel Trust 1, Master`s reference number IT 12788/07 and Investec
Bank Limited proposed to acquire the entire issued and to be issued share
capital in Vox, by way of a scheme of arrangement in terms of section 114 of
the Companies Act, No. 71 of 2008, as amended from time to time ("Act"), to be
proposed by the board of directors of Vox between Vox and its Shareholders
("Scheme").
In the aforementioned announcement, Shareholders were advised that further
details of the Scheme would be included in the circular to be sent to
Shareholders containing, inter alia, a notice of the meeting of Shareholders,
a form of proxy, a form of surrender and transfer and a prospectus in respect
of BidCo ("Circular") which was expected to be posted to Shareholders on or
about 19 August 2011, being within 20 business days as required by 102(2)(a)
of the Takeover Regulations issued pursuant to the Act.
The Takeover Regulation Panel has granted Vox an extension regarding the
posting of the Circular to Shareholders in order to allow for the registration
of BidCo`s prospectus with the Companies and Intellectual Property Commission.
It is expected that the Circular will now be posted to Shareholders on or
about 9 September 2011.
