NOTICE OF ANNUAL MEETING OF SHAREHOLDERS SEPTEMBER 14, 2011
Notice is hereby given that the annual meeting of shareholders (the "Meeting")
of First Uranium Corporation (the "Corporation") will be held at The National
Club, 303 Bay Street, Toronto, Ontario, Canada, M5H 2R1, Goldwin Smith Room, 3rd
floor, on September 14 , 2011, at 10:00 a.m. (local time) for the following
purposes:
to receive the audited consolidated financial statements of the Corporation for
the year ended March 31, 2011 (the "Financial Statements") and the report of the
auditors thereon;
to elect directors of the Corporation for the ensuing year;
to consider and, if thought advisable, approve the appointment of
PricewaterhouseCoopers Inc., Chartered Accountants, as auditors for the
Corporation, and to authorize the directors of the Corporation to fix their
remuneration;
to transact such further or other business as may properly come before the
Meeting or any adjournments or postponements thereof.
Record date for the meeting is August 8, 2011. A copy of the Financial
Statements to be submitted to the Meeting, together with the Management
Information Circular and form of Proxy with respect to the matters to be dealt
with at the Meeting, will be posted to the Corporation`s website at
www.firsturanium.com and on SEDAR at www.SEDAR.com.
