OFFER FOR REDEFINE INTERNATIONAL PLC UNCONDITIONAL IN ALL RESPECTS
Linked unitholders are referred to the announcement released on SENS on 18
August 2011 regarding the results of the general meeting of RIN linked
unitholders and to the announcement ("the RNS announcement") which was released
by Wichford P.L.C. ("Wichford") on the Regulatory News Service ("RNS") of the
London Stock Exchange today (a copy of which is being released simultaneously
with this announcement) regarding an all share offer ("the offer") by Wichford
for Redefine International plc ("RI plc") and the resultant merger ("the
merger") between Wichford and RI plc.
As set out in the RNS announcement Wichford has received acceptances of the
offer from shareholders of RI plc holding in excess of 90% of the RI plc shares
in issue, including RIN which holds 82%.
Accordingly, the implementation of the offer and the resultant merger of
Wichford and RI plc has become unconditional.
