Results of the Annual General Meeting
Shareholders are advised that, at the Annual General Meeting of Keaton Energy
held today at The Ultramarine Room, The Campus, 57 Sloane Street, Bryanston,
2191, South Africa, all the resolutions were passed by the requisite majority of
shareholders present or represented by proxy thereat.
The resolutions passed by shareholders were as follows:
1. the Annual Financial Statements for the year ended 31 March 2011 were
adopted, together with the report of the auditors;
2. Mr OP Sadler was elected as an independent non-executive director of the
company;
3. Mr D Jonker was elected as a non-executive director of the company;
4. Dr JD Salter was re-elected as the independent non-executive chairman of
the company;
5. Mr LX Mtumtum was re-elected as an independent non-executive director of
the company;
6. Mr LX Mtumtum was appointed as a member and chairman of the audit
committee;
7. Dr JD Salter was appointed as a member of the audit committee;
8. Mr OP Sadler was appointed as a member of the audit committee;
9. KPMG Inc. was re-appointed as auditors of the company;
10. the directors were authorised to fix the remuneration of the auditors;
11. the authorised but unissued shares were placed under the control of the
directors;
12. the directors were granted a general authority to issue shares for cash;
13. the company`s remuneration policy was accepted and approved;
14. the non-executive directors` fees for the year ended 31 March 2012 were
approved;
15. the provision of financial assistance by the company to any company or
corporation which is related or inter-related to the company was approved;
and
16. the directors were granted a general authority to repurchase shares.
