CAPITAL DISTRIBUTION TO SHAREHOLDERS
Shareholders are hereby advised that following the successful conclusion of a
supplier dispute at Sibize International Calling (Pty) Ltd ("Sibize")(a 50%
owned joint venture of Dialogue), and payment by Sibize`s client of all
remaining amounts due to Sibize, the Dialogue board of directors have approved a
resolution to declare a capital distribution of 13 cents per Dialogue ordinary
share to shareholders in terms of section 46(1)(a) of the Companies Act, 2008.
The salient dates pertaining to the capital distribution to shareholders are as
follows:
Last day to trade in order to participate in the Friday, 16 September 2011
capital distribution (cum distribution) on
Trade in the ordinary shares will commence Monday, 19 September 2011
trading ex capital distribution on
Record date on which Dialogue shareholders must Friday, 23 September 2011
be recorded in the register to be entitled to the
capital distribution on
Payment date on Monday, 26 September 2011
Share certificates may not be dematerialised or rematerialised from Monday, 19
September 2011 to Friday, 23 September 2011, both days inclusive.
SUSPENSION OF TRADE IN DIALOGUE SHARES
Shareholders are further advised that in terms of section 3.26(a) of the JSE
Listings Requirements, trading in the shares of Dialogue will be suspended from
the commencement of business on Monday, 19 September 2011, due to the failure of
the Company to acquire viable assets within a six month period, subsequent to
classification of the Company as a cash shell by the JSE.
