GRANT AND ACCEPTANCE OF RIGHTS TO PARTICIPANTS IN SHARE PLANS
In compliance with Rules 3.63 to 3.74 of the Listings Requirements of
the JSE Limited ("JSE"), the following information is disclosed:
Directors of the Metrofile Holdings group and the company secretary
have been granted rights on 9 September 2011 to participate in the
Company`s share based incentive plans as follows:
Share appreciation rights, which are subject to performance conditions
and vest after three years, at a grant price of R1,96:
Graham Wackrill 1,224,490 rights (direct beneficial)
Richard Buttle 816,327 rights (direct beneficial)
Guy Kimble 816,327 rights (direct beneficial)
Leon Thompson 338,199 rights (direct beneficial)
All rights are subject to the rules of the share incentive plan, as
approved by shareholders at the general meeting held on 9 October 2008
and amendments thereto approved by shareholders at the annual general
meeting held on 30 November 2009.
