NOTICE TO THE SHAREHOLDERS OF:
IDION TECHNOLOGY HOLDINGS LIMITED ("Idion")
IN MEMBERS VOLUNTARY LIQUIDATION - MASTERS REFERENCE: T
(Incorporated in the Republic of South Africa)
(Registration number 1998/013846/06)
(Formerly listed under Share code: IDI ISIN: ZAE000022513)
FINAL DISTRIBUTION TO SHAREHOLDERS
I refer to the Idion announcement dated 3rd November 2006, which stated
that:
" If there is a surplus available after taking into account the final
anticipated winding up costs of IDION and any other adjustments, there will
be a further distribution to shareholders."
In terms of the first and final liquidation and distribution account
confirmed by the Master of the High Court, there is a surplus of R5 767
896.43 to be distributed to shareholders. I am now paying out the surplus
as a return of share capital and share premium at 5,14cents per share as a
final distribution to registered shareholders.
Shareholders are advised to consult with their professional advisors about
the tax implications relating to this distribution.
I will be posting the cheques to the last known address as registered in
the shareholders` register. If you have not informed Computershare of any
change to your postal address your cheque will not reach you. Please
therefore advise me of any change of address as a matter of urgency.
PLEASE NOTE that I and the former directors resolved that dividends of less
than R100 (in total amounting to R12 625) would not be paid to shareholders
because of the costs involved in paying these dividends. Instead we suggest
that these amounts be added to the unclaimed dividends and paid to Pretoria
School - Subsidised School for Specialised Education, the charity approved
by shareholders in general meeting on 26 October 2006. However if any
shareholder objects to this course of action and would instead want their
dividend paid to them, please contact me, and your dividend will be paid to
you.
