FURTHER UPDATE ON THE ACQUISITION BY GOLIATH GOLD OF GOLD ONE`S MEGAMINE ASSETS
Further to the joint announcements released by Gold One and Goliath Gold on 13
October 2010, 12 November 2010, 25 February 2011, 22 March 2011 and 20 June 2011
respectively, and using the terms defined in those announcements unless
otherwise stated, Shareholders are advised that the Parties have agreed to
extend the deadline in relation to the fulfillment of the remaining conditions
precedent to the Acquisition from 30 September 2011 to 31 January 2012 (the
"extension").
The extension is due to certain regulatory approvals being outstanding such as
the approval of the cession of the Wit Nigel Prospecting Right by the DMR under
section 11 of the South African Minerals and Petroleum Resources Development
Act, 2002 (Act 28 of 2002).
Shareholders will be advised of the revised salient dates and times relating to
the Acquisition in due course, pending the fulfillment or waiver, as the case
may be, of the remaining conditions precedent to the Acquisition.
