REPORT ON PROCEEDINGS AT ANNUAL GENERAL MEETING
At the 15(fifteenth) annual general meeting of the shareholders of
FirstRand held on 1 December 2011 all of the ordinary and special
resolutions proposed at the meeting were approved by the requisite majority
of votes.
The special resolutions will be filed with the Companies and Intellectual
Property Commission in terms of Section 65 of the 2008 Companies Act, in
due course.
The business regarding B Preference shares, was withdrawn as there is no
intention to issue the unissued B Preference shares at this time. Hence
ordinary resolution number 6B was withdrawn in its entirety. All reference
to B Preference shares contained in ordinary resolution number 7 was
withdrawn prior to the resolution being approved.
