WAIVER OF CONDITION PRECEDENT TO SCHEME OF ARRANGEMENT
Shareholders are referred to the circular dated 8 November 2011, regarding the
scheme of arrangement in terms of section 114 of the Companies Act, 2008 (Act No
71 of 2008) as amended, in terms of which Yakani Infraco Pty Limited ("Yakani
Infraco") will acquire the remaining issued share capital of African Brick for a
scheme consideration of 4.6 cents per share ("the scheme").
Notice is hereby given that Yakani Infraco has waived the advent of any material
adverse change as a condition precedent to the scheme.
Shareholders are reminded that the shareholders meeting to consider and, if
deemed fit, approve the scheme is to be held at 10h00 on Tuesday, 6 December
2011, at the registered address of the Company, Farm 246, Luipaardsvlei,
Krugersdorp.
