SECTION 45(5) NOTICE TO SHAREHOLDERS
In compliance with section 45(5) of the Companies Act, 2008 (the
Companies Act), notice is hereby given to the shareholders of the Company
that a resolution of the Board of Directors of the Company was passed, in
accordance with section 45(3) of the Companies Act, in terms of which the
Company is authorised to provide indirect financial assistance to
Imperial Mobility Finance B.V. (a subsidiary of the Company) by way of a
guarantee in favour of the lenders under a EUR340,000,000 term loan
facility provided to Imperial Mobility Finance B.V..
