DISCLOSURE OF ACQUISITION AND DISPOSAL OF SECURITIES
PSG shareholders` are referred to the SENS announcement released by Steinhoff
International Holdings Limited ("Steinhoff") on 15 December 2011 in relation to
the proposed acquisition by Steinhoff of a 20% shareholding in PSG ("the
Steinhoff Announcement").
In accordance with Section 122(3)(b) of the Companies Act 71 of 2008 (as
amended), and section 3.83(b) of the JSE Limited`s Listings Requirements,
shareholders are hereby advised that the Company has received formal
notification in the prescribed form of the following movements in securities of
the Company:
* Titan Nominees Proprietary Limited (an associate of Dr. CH Wiese) has
disposed of all of its shares held in PSG on the terms as set out in the
Steinhoff Announcement;
* Mayfair Speculators Proprietary Limited ("Mayfair") (indirectly associated
with Mr. MJ Jooste) has disposed of 3 500 000 shares in PSG on the terms as
set out in the Steinhoff Announcement, resulting in Mayfair`s shareholding
in PSG decreasing to 8.9% of the total issued ordinary share capital of PSG
(net of treasury shares). Subject to fulfilment of the conditions precedent
as set out in the Steinhoff Announcement ("the Conditions Precedent"),
Mayfair will dispose of its residual shares held in PSG to Steinhoff; and
* Steinhoff has acquired an interest in securities in the Company such that
the total interest in the securities in the Company held by Steinhoff
amounts to 11.1%, which interest will increase to 20% subject to the
fulfilment of the Conditions Precedent.
