SPECIAL RESOLUTION OF SHAREHOLDERS PASSED IN RESPECT OF PROPOSED FINANCIAL
ASSISTANCE IN TERMS OF SECTION 45 OF THE COMPANIES ACT
Notice is hereby given in terms of section 60(4) of the Companies Act, 71 of
2008, as amended ("the Act"), that the shareholders of the Companies resolved
in terms of section 45(2) of the Act to authorise the Companies to provide
financial assistance to persons who are related or inter-related to the
Companies, which includes its subsidiaries, pursuant to the authority granted
to the boards of the Companies by its shareholders on 15 December 2011, in
terms of sections 60(1) and 60(2) of the Act.
