SHAREHOLDER UPDATE REGARDING A COURT APPLICATION
The North Gauteng High Court, Pretoria, today ruled on a court application
submitted by Mr Ron Nel and 34 other applicants.
The court ordered that pending the hearing and final adjudication of the
business rescue application, scheduled to be heard on 14 February 2012, Miranda
is interdicted and restrained from proceeding with the proposed increase in
authorised share capital contemplated in a circular to shareholders distributed
on 9 December 2011, as well as the proposed rights issue (mentioned briefly in
the above mentioned circular).
Shareholders are advised that the meeting scheduled for 10:00 on 16 January 2012
remains on track and all resolutions not relating to the above two issues will
still be considered at the general meeting.
The increase in share capital and authority to the Board to allot and issue the
respective authorised unissued shares in the share capital of the Company for
purposes of the rights offer resolutions will accordingly be postponed until
after the business rescue hearing on 14 February 2012.
